1. About Webtribe Corporation
Webtribe Corporation is an IT consulting company based in Ontario, Canada, specializing in:
- IT network design, setup, and troubleshooting
- Website design and development
- Security camera installation and maintenance
- IT support plans for businesses
2. Acceptance of Terms
By accessing our website, requesting a quote, or using our services, you acknowledge that you have read, understood, and agreed to these Terms and Conditions. If you are entering into this agreement on behalf of a company, you confirm that you have the authority to bind that company to these Terms.
3. Services
Our services are provided as outlined in your individual quote, invoice, or service agreement.
We strive to deliver all projects professionally and on time. However, project timelines may vary depending on client responsiveness, project complexity, and unforeseen technical issues.
We reserve the right to modify, suspend, or discontinue any service with or without notice.
4. Payments and Billing
- All quotes are provided in Canadian dollars (CAD).
- A deposit may be required before work begins.
- Payment terms are stated in your invoice (typically due within 15 days unless otherwise stated).
- Late payments may incur interest charges at 2% per month (24% per year).
- Any additional work requested beyond the original agreement will be billed at our standard hourly rate.
5. Client Responsibilities
Clients agree to:
- Provide accurate and complete project details.
- Supply timely feedback, content, and approvals.
- Ensure access to necessary systems or premises when required.
- Maintain backups of critical data prior to project start.
We are not responsible for delays or damages resulting from a client’s failure to meet these obligations.
6. Intellectual Property
Unless otherwise agreed in writing:
- Webtribe retains ownership of all intellectual property, code, and designs until full payment is received.
- Upon full payment, ownership of the final deliverables transfers to the client.
- We reserve the right to display completed projects in our portfolio and marketing materials.
7. Confidentiality
We respect the privacy and confidentiality of all client information. Any data shared with us for project purposes will be kept secure and used only to fulfill the requested services.
8. Limitation of Liability
Webtribe Corporation is not liable for:
- Any indirect, incidental, or consequential damages (including loss of data, revenue, or profits).
- Downtime or service interruptions caused by third parties (hosting providers, ISPs, etc.).
- Unauthorized access, data breaches, or software vulnerabilities outside our control.
Our total liability for any claim shall not exceed the total fees paid by the client for the service in question.
9. Termination
Either party may terminate a project or ongoing service with written notice if the other party fails to meet agreed terms. In case of termination, the client is responsible for payment for all completed work up to that date.
10. Privacy
We collect and process personal information in accordance with our Privacy Policy, which forms part of these Terms and Conditions.
11. Governing Law
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes will be resolved in the courts of Ontario.
12. Changes to These Terms
We may update these Terms and Conditions from time to time. Updated versions will be posted on our website, and the “Last Updated” date will reflect the most recent changes.
